Charter of the

National LGBT Notary Standards Association (NLNSA)

Article I — Name

The name of the organization is the National LGBT Notary Standards Association (NLNSA) (“the Association”).

During its initial phase of operation, the Association shall operate as a professional standards and certification initiative administered by Coverity, Inc. A future transition to an independent nonprofit corporation is expressly contemplated.


Article II — Purpose

The Association is organized for educational, professional, and standards-setting purposes, including:

  1. Developing and maintaining professional standards for notaries and related professionals

  2. Promoting neutrality, ethical conduct, and equal treatment in notarial practice

  3. Providing education, training, and certification programs

  4. Publishing codes of professional conduct and best practices

  5. Administering certification, recertification, and disciplinary frameworks

  6. Supporting public trust in notarial services

The Association’s work emphasizes professionalism and neutrality, including the fair and respectful treatment of individuals of all gender identities and sexual orientations.


Article III — Limitations

The Association:

  • Shall not engage in partisan political activity

  • Shall not endorse or oppose candidates for public office

  • Shall operate in a viewpoint-neutral and professionally grounded manner

Upon formation as a nonprofit entity, the Association shall be organized and operated exclusively for purposes consistent with Section 501(c)(3) of the Internal Revenue Code.


Article IV — Authority & Governance (Program Phase)

Until such time as the Association becomes an independent legal entity:

  • Coverity, Inc. shall serve as the administrative authority

  • Day-to-day operations shall be delegated to an Executive Director

  • A Standards & Ethics Council shall advise on policy and enforcement

All standards, certifications, and actions taken under this Charter shall remain valid and portable upon spin-off.


Article V — Intent to Spin Off

It is the express intent of the Association and Coverity, Inc. that the Association may be incorporated as a standalone nonprofit organization when operational, governance, and financial readiness criteria are met.
